Skin Solace

These are the Terms and Conditions of Natalee Onyeche trading as Skin Solace.

  1. General
  1. ‘Client’ is any person, company, firm, or organisation acting in the course of a business that has contacted Skin Solace requesting information, or who has entered a Contract with Skin Solace for the provision of skincare products and accessories. (Products).
  2. ‘Contract’ – The legal agreement between Skincare Solace and the Client for the provision of Products.
  3. ‘Website’- https://www.skinsolace.co.uk
  4. ‘Price’- The sum payable for the provision of the Products as agreed with the Client and any additional sums agreed between the parties including the delivery charge.
  5. ‘Payment’ – is by bank transfer.
  6. ‘Days’- All the days in a week excluding weekends and Bank Holidays.
  7. These Terms and Conditions and the Contract will represent the whole of the terms between Skin Solace and the Client. Any changes to these must be agreed in writing by Skin Solace.
  8. These Terms and Conditions will govern the Contract between the parties to the exclusion of any other terms. By entering the Contract, the Client accepts this.
  9. The Products must not be exported outside of the United Kingdom without the prior written approval of Skin Solace.
  1. The Products
  1. The Products to be supplied under the Contract will be as set out in the quote provided. It is for the Client to place an order within 28 days of the quotation. After that time, the Client must request an up-to-date quotation.
  2. The descriptions of the Products by Skin Solace will be as accurate as possible and provided in good faith.
  3. The Client must satisfy themselves that the Products as described meet their requirements before placing an order to purchase. Skin Solace is always willing to answer any questions or queries.
  4. The Client must accept that the Products supplied may vary slightly from what is set out initially and by placing the order the Client accepts this.
  5. If the Client has any requirements that are essential to them, they must contact Skin Solace to discuss the matter before entering an order to ensure this is acceptable to Skin Solace.
  6. Skin Solace warrants that they will use reasonable care and skill in producing the Products.
  7. Skin Solace holds a cosmetic product safety report for every recipe its uses. An independent qualifies chemist in skin preparation has tested and certified all recipes used as safe for use on the human skin. However, it is the Client’s responsibility to use care and decide if to use or advise to use the Product on any person with a skin or other relevant ailment or condition.
  8. All Products will be labelled in accordance with the current UK legal requirements. The ingredients will be clearly shown.
  1. The Procedure for placing an order.
  1. Following an enquiry Skin Solace will provide a quotation for the supply of the Products.
  2. The Client should be sent an acknowledgement email as soon as they place an order. This email does not constitute acceptance of your order.
  3. All Orders are subject to availability. An Order shall be binding on Skin Solace only once it has been confirmed by Them. This may be only when it dispatches the order to the Client.
  4. The Contract is only made when Skin Solace confirm acceptance of the order.
  5. Skin Solace will take reasonable care to ensure all details, descriptions and prices of the Products are correct at the time of submitting the quotation. However, the details may change when the Client makes an order to purchase and if so, the Client will be informed as soon as possible and asked if they wish to proceed.
  6. Skin Solace can decline any order or terminate any Contract immediately should the Client commit a material breach of the Contract or these Terms and Conditions.
  7. The Client will have the opportunity to read these Terms and Conditions and any questions answered before placing an order and entering a Contract and so the Client is accepting these Terms and Conditions by entering the Contract.
  8. By placing any order, the Client is confirming they are at least 18 years old.
  9. Skin Solace reserves the right to suspend a Client’s account if they consider there has been suspicious activity regarding that account. The Client would be notified of this by email.
  10. Skin Solace reserves the right to limit the number of Products purchased by an individual Client.
  1. The Price
  1. The Prices payable will normally be as set out in the quotation. However, Skin Solace cannot confirm the price of any Product until an order is accepted.
  2. VAT at the current rate will be added to the Price where appropriate.
  3. The Client would be sent an invoice upon placing an order. Unless agreed otherwise the invoice must be paid in full before Skin Solace will place an order with their supplier or to start to manufacture the Products themselves.
  4. All invoices must be paid in full without set-off, deduction or counterclaim.
  1. Cancellation Policy
  2. Orders once accepted by Skin Solace cannot be cancelled.
  3. Skin Solace reserves the right to cancel an order without liability if they are unable to supply the Products ordered due to events beyond their control.
  1. Delivery
  1. Any delivery dates specified are approximate estimates only. Skin Solace shall endeavour to comply with any requested or agreed delivery date but shall not be liable for failure to comply with quoted delivery dates whether due to late delivery or short delivery. The Client’s representative shall acknowledge receipt of the Products by signing the carrier’s proof of delivery note.
  2. No delay shall entitle the Client to reject any delivery or Products or part of the order.
  3. If the Client requires delivery by a certain date, then this must be communicated in writing to Skin Solace before the order is made. Skin Solace is only bound by such date if they confirm acceptance of this in writing.
  4. All Products will be dispatched in a cardboard mailer box. This will be by first or second class (as requested by the Client) signed for delivery by Royal Mail or by DPD carriers. Skin Solace will endeavour to obtain the best reliable deal for the delivery of the Products.
  5. The price for delivery will be given in the quotation and whilst given in good faith may be subject to amendment if the carrier or Royal Mail amend their prices.
  6. Products are not sold on a “Sale or Return” basis. Products are not to be returned to any address unless written authority has been received from Skin Solace and an official collection has been arranged by Skin Solace (for which Skin Solace will obtain insurance to cover risk of loss or damage to Products during transportation by the carrier on return journey back to Skin Solace). Unauthorised returns will not be refunded.
  7. Skin Solace will arrange the carriage of the Products from its premises to those of the Client or premises nominated by the Client in writing. The Client shall make all arrangements necessary to take delivery of the Products whenever they are intended for delivery.
  8. The Client shall inspect the Products to satisfy itself as to their condition and comply with the queries procedure set out in these Conditions.
  9. Skin Solace will obtain insurance to cover the Client’s risk of loss or damage to Products during their transportation by the carrier arranged by Skin Solace. The level of insurance cover will be the price of the Products relating to the relevant Order.
  10. Title in the Products will remain with Skin Solace until all monies owed to them are paid in full.
  1. Risk

The risk in all Products will pass to the Client on delivery by Skin Solace to the carrier that Skin Solace has arranged to transport the Products from Skin Solace’s premises.

  1. Limitation of Liability
  1. Should Skin Solace be prevented, hindered or delayed from performing their obligations under the Contract by circumstances outside of their control (including without limitation acts of God, flood, drought, earthquake, other natural disasters, epidemic or pandemic, a terrorist attack, war, civil commotion or riots, war, the threat of or preparation for war, armed conflict, the imposition of sanctions, embargo or breaking off diplomatic relations, nuclear, chemical or biological contamination, any law or action by government or public authority, the collapse of buildings, fire explosion or accident, any labour dispute or strike, non-performance by suppliers or subcontractors, interruption or failure of utility service, any action or order from the government, travel restrictions )Skin Solace shall be relieved from performing their obligations and will not be in breach of the Contract or otherwise liable for any such failure or delay in the performance of such obligations.
  2. The Contract is exclusive to the Client and no third party shall have any rights under that Contract.
  3. Skin Solace has no liability for any loss of profits, goodwill, reputation, special, indirect, or
  4. consequential losses or any other business losses.
  5. Skin Solace has not given any warranty, condition, or other term as to the quality or fitness for
  6. any purpose of the Products and all warranties, conditions, or other terms, express or implied
  7. (by statute or otherwise), are excluded from the Contract and these Conditions to the fullest
  8. extent permitted by law.
  9. Skin Solace does not exclude liability for death or personal injury caused by the negligence of

them or their employees, agents or subcontractors, fraud, or fraudulent misrepresentation or

any other matter unlawful to exclude by law.

  1. Subject to the above ethe liability of Skin Solace in respect of a Contract shall not exceed the

Price and any additional sums paid or due from the Client.

  1. Intellectual property
  1. All copyright, trademarks and all other intellectual property rights in all Products, containers, designs, labels, any materials, logo, marketing materials, branding or copy (all jointly called the Materials) shall remain always vested in Skin Solace. Any attempt to copy any Materials, or manufacture, reproduce, transmit, publish, display exploit, or create derivative Materials shall render the Client liable for damages.
  2. The Client acknowledges and agrees that all intellectual property rights relating to the Products are the exclusively property of the Skin Solace. The Client will ensure that the intellectual property of Skin Solace is only used as is to promote the Products and will not do (or authorise any third person to do) anything that may impair or damage the Products or the goodwill or reputation associated with Skin Solace’s intellectual property rights; or adversely affect the value or validity of Skin Solace’s intellectual property rights, bring the Skin Solace’s intellectual property rights into disrepute; or suggest an affiliation or relationship with Skin Solace that does not exist
  3. The Client will not carry out or authorise the alteration, obliteration or covering up of any trademarks or Materials or the incorporation of other marks (in whole or in part) on any Products.
  4. If the Materials supplied by Skin Solace are used by a third party for any purpose, not in the Contract the Client will be liable to Skin Solace for damages and any legal costs. They must take appropriate steps to ensure such use ceases immediately.
  5. If the Client wishes to use the content of the Materials in a way beyond as agreed with Skin
  6. Solace, it must obtain written consent from Skin Solace and pay any fee requested before doing
  7. so.
  1. Data Protection and Confidentiality
  1. Skin Solace will take all reasonable care to keep all data supplied by the Client in accordance with the UK General Data Protection Regulations (GDPR)and general UK legislation as set out in their current Privacy Notice.
  2. Clients may be contacted by Skin Solace with marketing material about current and future products. The Client will always have the option to unsubscribe from such marketing materials. Clients’ data will never be passed to third parties for marketing purposes.
  3. The Client shall not disclose to any person at any time any information or matter which is not in the public domain, and which relates to the affairs of Skin Solace or about any other confidential matters which may come to Client’s knowledge during its relationship with Skin Solace. This does not apply to any disclosure authorised by Skin Solace or as required by law any information which is already in, or comes into, the public domain.
  1. Complaints
  1. In the event of delivery errors, faulty or damaged Products or account queries the Client should contact Skin Solace on the phone number shown on the invoice. All queries must quote order/invoice number and must be notified as soon as possible and confirmed in writing within 7 days of receipt of the Products.
  2. Evidence of damaged Products or packaging must be retained by the Client for inspection.
  3. Claims outside this time limit cannot be accepted. Accordingly, failure to notify Skin Solace in accordance with this time limit shall result in the Client’s deemed acceptance of the Products delivered. No liability will be accepted by Seller in respect of late claims and the Client shall be bound to pay the price as if the Products were delivered in accordance with the Order.
  4. Skin Solace takes the care and wellbeing of all Clients very seriously and in the unfortunate event that a Client Is not happy with the service provided by Skin Solace then they will endeavour to discuss their concerns further and endeavour to find a solution.
  1. Severance

If any part of these Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from the Terms and Conditions and shall not affect the validity and enforceability of any of the remaining provisions.

  1. Waiver

The waiver by Skin Solace of a breach, default, delay, or omission of any of these terms or the Contract by the Client will not be construed as a waiver of any preceding or subsequent breach of the same or other provisions.

  1. Transfer

The Client may not transfer any of their rights under the Contract to any Third Party.

  1. Law
    1. The laws of England and Wales exclusively govern these Terms and Conditions.
    2. The Client shall whenever engaging in any activity relating to these Products and Terms and Conditions comply with all applicable laws and regulations.
    3. Any notice or other communication given to a party under or in connection with these Conditions shall be in writing, addressed to that party at the address given in the order or such other address as that party may have specified to the other party in writing in accordance with this clause, and shall be delivered personally, sent by pre-paid next working day delivery service, commercial courier, or email.
